By downloading, installing, or using ZennyTrader ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.
2. Description of Service
ZennyTrader is a mobile application designed to help traders develop better trading mindset practices through:
- Emotional state tracking and trading performance correlation
- Trading pattern detection (revenge trading, FOMO, overtrading)
- AI-powered trading mindset coaching (NOT therapy or mental health treatment)
- Performance analytics and insights
- Trading time-out recommendations and wellness reminders
- Crisis resource referrals (we detect crisis language and direct users to appropriate professional help)
IMPORTANT: ZennyTrader is NOT a mental health service, therapy app, financial advisor, or crisis intervention service. See Section 3 for critical disclaimers.
3. CRITICAL DISCLAIMERS - PLEASE READ CAREFULLY
3.1 Not a Mental Health Service
IMPORTANT: ZennyTrader is a trading mindset coaching app, NOT a mental health service, therapy app, counseling service, or crisis intervention service.
WE DO NOT:
- ❌ Provide mental health therapy, counseling, or psychological treatment
- ❌ Diagnose mental health conditions (e.g., depression, anxiety, PTSD, bipolar disorder)
- ❌ Prescribe or recommend psychiatric medications
- ❌ Provide crisis intervention or emergency mental health services
- ❌ Replace professional mental health care from licensed therapists/psychologists/psychiatrists
- ❌ Treat grief, loss, relationship problems, or life stressors (beyond trading context)

3.2 AI Safety Boundaries
Our AI Chatbot ("Zenny AI"):
- ✅ Provides trading mindset coaching focused on emotional awareness in trading
- ✅ Helps identify trading patterns and emotional triggers
- ✅ Detects potential crisis language and directs you to professional resources
- ✅ Enforces strict boundaries to refuse therapy/diagnosis/medical advice requests
- ❌ Does NOT provide therapy, diagnoses, or medical advice
- ❌ Does NOT replace professional mental health care
- ❌ Is NOT trained or qualified to handle mental health crises
Crisis Detection: Our app uses hard-coded keyword detection to identify potential crisis language (163+ keywords). If detected, the app will:
- Immediately display crisis resources (911, 988, Crisis Text Line)
- Block access to AI chat until you acknowledge the resources
- Log the event for safety monitoring (keywords only, NOT full messages)
YOU AGREE: If you are experiencing suicidal thoughts, self-harm urges, or mental health crises, you will NOT use this app and will instead contact emergency services (911) or crisis hotlines (988) immediately.
3.3 Financial and Investment Disclaimer
CRITICAL: ZennyTrader is NOT a financial advisor, investment advisor, broker-dealer, or registered investment adviser. We do NOT provide financial, investment, or trading advice.
WE DO NOT:
- ❌ Provide investment recommendations or advice
- ❌ Recommend specific trades, securities, or investment strategies
- ❌ Guarantee trading performance, profits, or returns
- ❌ Offer financial planning or wealth management services
- ❌ Manage your money or make trades on your behalf
- ❌ Facilitate financial services, execute trades, buy, sell, or provide brokerage services
- ❌ Act as a financial institution or provide custody of funds
IMPORTANT: ZennyTrader does NOT facilitate financial services, execute trades, buy, sell, or provide brokerage services. All trades must be executed through your own brokerage account. We only provide tools for recording and analyzing your trading history for performance analysis and emotional pattern tracking.
YOU ACKNOWLEDGE:
- Trading involves substantial risk of loss and is not suitable for all investors
- You are solely responsible for your own investment decisions
- You should consult licensed financial advisors before making investment decisions
- Past performance does not guarantee future results
- We are not liable for any trading losses you incur
3.4 No Guarantee of Results
We do NOT guarantee that using ZennyTrader will:
- Improve your trading performance or profitability
- Prevent trading losses or emotional distress
- Cure or treat any mental health conditions
- Replace professional therapy or medical treatment
Results vary based on individual circumstances, commitment, and external factors beyond our control.
3.5 Clinical Validation Disclaimer
Our app's safety features have been reviewed by Dr. Holly A. Hunley, Ph.D., a licensed clinical psychologist, to ensure appropriate boundaries are maintained between trading mindset coaching and mental health therapy. This review validates our safety systems and boundary enforcement, NOT the app's effectiveness as therapy (because it is not therapy).
4. User Eligibility
4.1 Age Requirement
You must be at least 18 years old to use ZennyTrader. By using the App, you represent and warrant that you are at least 18 years old.
4.2 Legal Capacity
You must have the legal capacity to enter into these Terms. If you are using the App on behalf of an organization, you represent that you have the authority to bind that organization.
4.3 Compliance with Laws
You agree to use the App in compliance with all applicable laws and regulations, including but not limited to securities laws and trading regulations.
5. User Accounts and Registration
5.1 Account Creation
To use certain features of the App, you must create an account by providing accurate, current, and complete information.
5.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
- Ensuring your account information is accurate and up-to-date
6. Acceptable Use
6.1 Permitted Use
You may use the App for its intended purpose of emotional trading management and personal development.
6.2 Prohibited Activities
You agree NOT to:
- Use the App for any illegal or unauthorized purpose
- Use the App as a substitute for professional mental health care, therapy, or crisis intervention
- Attempt to use the AI chatbot for mental health therapy, diagnoses, or medical advice
- Use the App to provide financial or mental health advice to others
- Rely on the App for crisis intervention or emergency mental health support
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the App's functionality
- Share your account credentials with others
- Use automated tools to access the App
- Reverse engineer or attempt to extract source code
- Violate any applicable laws or regulations
- Attempt to bypass or manipulate crisis detection systems
7. Privacy, Data Protection, and AI Safety Monitoring
7.1 Privacy Policy
Your privacy is important to us. Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
7.2 AI Safety Monitoring
Important: To ensure your safety and maintain appropriate boundaries, we log limited safety monitoring data:
- Crisis Detection Events: When crisis language is detected, we log: anonymized user ID, severity, keywords detected, timestamp (NOT full messages)
- Therapeutic Request Attempts: When users attempt to use the app for therapy/diagnosis, we log: anonymized user ID, request type, keywords detected, timestamp (NOT full messages)
- Purpose: Quality assurance, safety system improvement, compliance monitoring
- Retention: Safety logs retained for 1 year, then deleted
- Privacy: Full messages are NEVER logged. Only keywords and metadata are stored.
7.3 AI Model Training
Your data is NEVER used to train AI models. We use OpenAI's API for chat functionality, but your conversations and personal data are NOT used to train or improve OpenAI's models or any other AI models.
7.4 Data Processing and Rights
We process your data in accordance with applicable data protection laws, including GDPR and CCPA. You have certain rights regarding your personal information as outlined in our Privacy Policy, including:
- Right to access your data (Settings → Privacy → Download My Data)
- Right to delete your data (Settings → Privacy → Delete Account)
- Right to know what data is collected and why
- Right to opt-out of data sharing (though we don't sell or share your data)
Exception: Safety logs cannot be deleted by users and are retained for 1 year for compliance and safety monitoring purposes.
8. Intellectual Property
8.1 Our Rights
ZennyTrader and its content, including but not limited to text, graphics, logos, and software, are owned by us or our licensors and are protected by intellectual property laws.
8.2 License to Use
We grant you a limited, non-exclusive, non-transferable license to use the App for its intended purpose, subject to these Terms.
9. Payment and Subscription
9.1 Free Features
Basic features of ZennyTrader are available free of charge.
9.2 Premium Features
Some features may require a subscription or payment. All fees are non-refundable unless otherwise stated.
9.3 Subscription Terms
If you purchase a subscription:
- Subscriptions automatically renew unless cancelled
- You may cancel at any time through your account settings
- No refunds for partial months or unused periods
- Price changes will be communicated in advance
10. Limitation of Liability
10.1 Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.2 Limitation of Damages
IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THE USE OF THE APP.
11. Termination
11.1 Termination by You
You may terminate your account at any time by deleting the App or contacting us.
11.2 Termination by Us
We may terminate or suspend your access to the App at any time for violations of these Terms or for any other reason.
12. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms in the App, sending email notifications, or displaying in-app notifications. Your continued use of the App after changes become effective constitutes acceptance of the new Terms.
